On December 10, 2024, MoneyLion Inc., a Delaware corporation (“MoneyLion”), and Gen Digital Inc., a Delaware corporation (“Gen Digital”), issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”), by and among Gen Digital, Maverick Group Holdings, Inc., a Delaware corporation and a wholly owned subsidiary of Gen Digital, and MoneyLion. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
